  5. License Agreement

  7. You should carefully read the following terms and conditions
  8. before using this software.  Unless you have a different license
  9. agreement signed by Panoramic Software your use of this
  10. software you indicates your acceptance of this license agreement
  11. and warranty.

  13. Disclaimer of Warranty
  14.  
  15. This Software is provided on an "AS IS" basis, without warranty of any
  16. kind, including without limitation the warranties of merchantability,
  17. fitness for a particular purpose and non-infringement.  The entire risk
  18. as to the quality and performance of the Software is taken by the user.
  19. Should the Software prove defective, the user, and not Panoramic Software,
  20. assume the entire cost of any services and repair.  Any Online Services 
  21. charges that result from the use of this program are the sole responsibility
  22. of the user.

  24. USER MAY: 
  25. - Use the Software on one single computer
  26. - Copy the Software for archival purposes, provided any copy must 
  27.   contain all of the original Software's proprietary notices.
  28.  
  29. USER MAY NOT: 
  30. - Permit other individuals to use the Software except under the  
  31.   terms listed above 
  32. - Modify, translate, reverse engineer, decompile, or disassemble 
  33.   the Software under any circumstances.
  34. - Rent, lease, grant a security interest in, or otherwise transfer rights 
  35.   to the Software 
  36. - Remove any proprietary notices or labels on the Software.

  39. You are specifically prohibited from charging, or requesting
  40. donations, for any such copies, however made; and from
  41. distributing the software and/or documentation with other products
  42. (commercial or otherwise) without prior written permission.

  44. TITLE: Title, ownership rights, and intellectual property rights in the 
  45. Software shall remain in Panoramic Software. The Software is protected by 
  46. copyright laws and treaties. 
  47.  
  48. TERMINATION: The license will terminate automatically if you fail 
  49. to comply with the limitations described herein. On termination, you 
  50. must destroy all copies of the Software. 
  51.  
  52. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND 
  53. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR 
  54. OTHERWISE, SHALL PANORAMIC SOFTWARE OR ITS DISTRIBUTERS BE 
  55. LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, 
  56. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF 
  57. ANY CHARACTER  INCLUDING, WITHOUT LIMITATION, 
  58. DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, 
  59. COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL 
  60. OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT 
  61. WILL PANORAMIC SOFTWARE BE LIABLE FOR ANY DAMAGES IN EXCESS 
  62. OF THE AMOUNT PANORAMIC SOFTWARE RECEIVED FROM YOU FOR A 
  63. LICENSE TO THE SOFTWARE, EVEN IF PANORAMIC SOFTWARE SHALL 
  64. HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  65. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS 
  66. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY 
  67. FOR DEATH OR PERSONAL INJURY TO THE EXTENT 
  68. APPLICABLE LAW PROHIBITS SUCH LIMITATION. 
  69. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE 
  70. EXCLUSION OR LIMITATION OF INCIDENTAL OR 
  71. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND 
  72. EXCLUSION MAY NOT APPLY TO THE USER.

  74. HIGH RISK ACTIVITIES. The Software is not fault-tolerant and is 
  75. not designed, manufactured or intended for use or resale as on-line 
  76. control equipment in hazardous environments requiring fail-safe 
  77. performance, such as in the operation of nuclear facilities, aircraft 
  78. navigation or communication systems, air traffic control, direct life 
  79. support machines, or weapons systems, in which the failure of the 
  80. Software could lead directly to death, personal injury, or severe 
  81. physical or environmental damage ("High Risk Activities"). 
  82. Panoramic Software and its distributers specifically disclaim any express or 
  83. implied warranty of fitness for High Risk Activities.

  85. MISCELLANEOUS. If the copy of the Software you received was 
  86. accompanied by a printed or other form of "hard-copy" End User 
  87. License Agreement whose terms vary from this Agreement, then the 
  88. hard-copy End User License Agreement governs your use of the 
  89. Software. This Agreement represents the complete agreement 
  90. concerning this license and may be amended only by a writing 
  91. executed by both parties. If any provision of this Agreement is held 
  92. to be unenforceable,  such provision shall be reformed only to the 
  93. extent necessary to make it enforceable. The application the United 
  94. Nations Convention of Contracts for the International Sale of Goods 
  95. is expressly excluded.

  97. U.S. GOVERNMENT RESTRICTED RIGHTS. Use, duplication or 
  98. disclosure by the Government is subject to restrictions set forth in 
  99. subparagraphs (a) through (d) of the Commercial Computer-
  100. Restricted Rights clause at FAR 52.227-19 when applicable, or in 
  101. subparagraph (c)(1)(ii) of the Rights in Technical Data and 
  102. Computer Software clause at DFARS 252.227-7013, or at 252.211-
  103. 7015, and in similar clauses in the NASA FAR Supplement.
